Applicable Law
Both the existing website and its terms of use and services are controlled by French law, regardless of users’ locations. In the case of a dispute, and after all possible amicable resolutions have failed, only French courts of law will be allowed to hear the case.
The reproduction of any document published on the Bestrade.co website is only and exclusively permitted for personal or private usage; any reproduction or usage of copies of these documents for any other purpose is expressly prohibited. All content, photographs and other documents on the site are the property of S-TRADE SAS or are published or used with the express authorization of their owners and are protected by their author’s copyrights and other intellectual property rights. Branding elements, logo marks and types, and other business processes are the property of S-TRADE SAS. The brand used on the website cannot be used in any way under any interpretation of licensing or ownership rights. Fraudulent use of the brand or any other content on the site is strictly prohibited. Copying, reproducing, representing, modifying or utilizing in any way and for any purpose all or part of the Bestrade.co site is specifically prohibited.
S-TRADE informs you that it will use any legal remedy to protect its intellectual property rights if necessary.

Preamble
BESTRADE provides its customers with information pertaining to business events through its partners. All use of the website signifies acceptance by all users of the conditions stated in these Terms of Use.
1. Definitions
- “BESTRADE”: name of the website referenced in these Terms of Use (thereafter the “Site”), a property of S-TRADE.
- Client: any company or professional who uses the free services offered by the Site BESTRADE; each Client is represented by one or more User(s), persons authorized by the Client to use their account on the Site. To access services on the Site, Users must fill out a Personal Information form.
- User: any person performing services for a Client and owner of a User password.
- Personal Information Form: form filled by a User for identification purposes access to the Site.
- User Password: private code chosen by a User to access BESTRADE Site services and to exclusively access their own User profile.
- User Profile: the combination of information pertaining to a User, including the Client’s business, the User’s name, and the memory space and data tables provided to the User by S-TRADE SAS.
- Partner: companies other than S-TRADE that participate in the creation of information or services on the Site.
2. Purpose of the BESTRADE Site
BESTRADE’s only goal is to help professionals, meaning companies, freelancers, retailers, or artisans, or any organization whose objective is business-related. These fall into two categories:
- Publicly and freely accessible data: event directory, organizer directory, venue directory, attendee reviews, country map, modules, glossary, news;
- Data and services that require a login: industry information, search, monitoring, other services, the access to which is limited to Clients only, meaning companies and professionals that have created an account on the Site.
An identity is validated after the Client has filled out the required fields in the form and their identity has been verified. BESTRADE reserves itself the right to deny access to the Site if the Client identity validation process fails due to errors or incompleteness.
BESTRADE is strictly for professionals and businesses, with the right credentials and competence. BESTRADE reserves itself the right to terminate a Client’s access if that Client is not a professional or business or a Client that provided false information in their Identity Validation form.
3. Scope of Terms of Use
These Terms of Use apply to all the domain names registered by BESTRADE as well as all the services provided by S-TRADE SAS. All services on the Site are free and benefit from special attention: to avoid abuse, S-TRADE SAS reserves itself the right to not answer requests or questions from Users abusing free services or using them without any pertinence to their actual needs.
These Terms of Use accessible on the Site from various pages via the Terms of Use link (or ToU) have legal precedence over any printed document; S-TRADE SAS reserves itself the right to modify these Terms of Use without notice.
4. Conditions for BESTRADE Services Access
The Site is available for use 24/7 except for update or maintenance periods or in the case of Internet connection providers. Any interruption in the Site’s availability does not constitute grounds for damages.
S-TRADE SAS insures that searches and User requests will be answered during regular business hours in France: Monday through Friday from 9 AM to 6 PM.
4.1 Once a Client has activated a service.
S-TRADE SAS will make all commercially reasonable efforts to deliver the service within the advertised timeline. However, S-TRADE SAS is not responsible for delays whether caused by vendors or partners or not. S-TRADE SAS reserves itself the right to refuse a Client’s request if it appears a priori that its own resources and those of its partners and vendors may not be able to fulfill the Client’s request. What is more, if during the course of fulfilling a Client’s request, it is estimated that the S-TRADE SAS and its vendors and partners are not able to fulfill that request, S-TRADE commits to notifying the Client without delay. In the event a Client’s request is not fulfilled, the Client cannot ask for damages from S-TRADE SAS.
4.2 Request fulfillment: once ready, the request fulfillment will be made available to the Client in the Client’s account accessed with the Client’s password. S-TRADE SAS will send via email the online location of where the Client’s document has been uploaded. This email as well as its receipt confirmation constitute proof of request fulfillment, provided that no claim has been made to the contrary within 5 days from delivery.
5. S-TRADE SAS’s Responsibilities
S-TRADE SAS commits to employ all available means to provide accurate, up-to-date and complete information in its Site’s services, content, and links.
However, S-TRADE SAS provides answers, information, and data to its Users and Clients on an informational basis only and neither S-TRADE SAS nor its partners and vendors can be held responsible for if found to be incomplete, erroneous or out-of-date due to difficulties in accessing information, the diversity of information sources, delays, absence of or bad quality in information publishing, advertising, obsolescence or translation of information, changes in laws and regulations and, more generally, all applicable norms.
Also, S-TRADE SASA cannot be held responsible for the information, commercial offers or other content on sites linked to from the Site. Finally S-TRADE SAS cannot be held responsible for information on its Site which is the result of a third party’s malicious activity on its platform and denies all responsibility for inconveniences, technical issues, viruses, and other issues resulting from the use of electronic and communication devices. S-TRADE SAS cannot be held responsible in any way for any direct or indirect damages and any prejudice suffered by a Client or User through: (i) answers and information provided to Clients, (ii) the temporary unavailability of the BESTRADE Site, (iii) possible suspension of or interruptions in the Site’s functioning for any reason including Site failures or maintenance, (iv) acquisition or use of the Password by non-authorized person(s), (v) delays beyond the timelines provided for answers by S-TRADE SAS or its vendors or partners due to an act of God.
Clients and Users are solely responsible for the the questions they ask and the their use of the answers and information submitted in return.
S-TRADE SAS and its partners commit to keep Client’s requests and questions confidential. Finally, neither party can be held responsible in the case of an act of God. Acts of God are applicable to and defined as, beyond those commonly accepted by locally applicable laws, delays, failure to execute, or faulty execution of an obligation due to general or partial strike internal or external to either party’s which impacts said party’s activity, war, riots, insurrection, tornados, floods, cessation of transportation or communication services, or, more generally, any event outside of the aggrieved party’s control due to an impossible to foresee act or an act of God. If such an act prevented the delivery of a Service or, more specifically, prevented access to the Site and its services, for more than 30 consecutive days, either party would have the right to terminate this Contract by written letter delivered by first-class certified mail. In that case, the User’s Password will be deleted from the S-TRADE SAS database.
6. User Passwords
Every User is assigned an individual and confidential “password” that is linked to their identity verification on the Site. Users own their password and are solely responsible for ensuring its ongoing confidentiality and security. Users must not give their passwords to any third party or other individuals working for the Client.
7. Hyperlinks redirecting users to Bestrade
S-TRADE SAS grants permission to other sites to use hyperlinks redirecting users to its website pages, under the following conditions:
- The links must not be “deep links” and, consequently, the act of following the link must not create any uncertainty about the address of the website being visited and must be in a browser window or tab distinct from the originating window or tab.
- The links must not originate from a website hosting any information or data that are discriminatory, racist, pornographic, xenophobic, pedophiliac, or, generally, contrary to good morals.
8. Ownership of Information
Subscribing to BESTRADE or validating your identity on BESTRADE does not grant a right of ownership of the information contained on the BESTRADE Site. Users and Clients use BESTRADE under their own account and for their own purposes and S-TRADE SAS has the required authorizations to use all rights pertaining to information, data, text, tables, charts, photos, graphic elements and content on the BESTRADE Site.
Consequently, Clients and Users commit to use any data, information or answers they have acquired through the BESTRADE service solely for internal purposes and to not transmit them, freely or for compensation, to third parties and to not commercialize them, directly or indirectly. Non-compliance with these conditions would result in the termination of the Subscription and the cancellation of the User or Client account, without any prejudice with regard to any damages claim S-TRADE SAS could file against the non-complying party.

10. Site Maintenance
S-TRADE SAS reserves itself the right to interrupt any or all services or suspend any or all content on the Site for maintenance purposes or for any other purpose without being liable for damages.
11. Database Access Rights
Any Client has the right to request information related to their account from S-TRADE SAS and to have any potential correction executed, under Law No. 78-17 from January 6, 1978 as it relates to information technology, databases and freedoms. Said Clients also have the right to demand that such information not be manipulated or used by sending written notice to S-TRADE SAS, 11 rue de Lirenne 25480 Ecole Valentin.
11.1 Cookie Management
The BESTRADE Site uses cookies placed on a User’s devices used to access the Site. These cookies record information about the User’s usage of the Site (pages visited, session date and time, etc.) and stores information captured by the User during their session. That data allows the User to not have to enter or capture the same information in subsequent visits. Cookies stay on the device for one (1) year.
Users can prevent cookies from being created as follows:

- Select Tool in the men, then Options.
- Click on the Privacy icon.
- Select the Cookie menu item and select desired options.
For Microsoft INternet Explorer: - Select Tools in menu then Internet Options.
- Click on the Privacy tab.

Complaints
Any complaint must be submitted in writing by mail to S-TRADE SAS.
13. Jurisdiction
These Terms of Use are controlled by French law. If translated in any language, only the French version of these Terms of Use is legally enforceable. In the case of disagreements in the interpretation of these Terms of Use, the application and execution of any of the conditions in these Terms of Use, and, provided no agreement can be reached between Client and S-TRADE SAS, the possible litigation will fall under the sole jurisdiction of the Besancon tribunal.
